Terms of Service

1. Acceptance of Terms

By accessing or using Octyl's platform, website, APIs, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Octyl provides a cross-runtime knowledge layer for AI engineering teams. The Service includes compute workspaces, knowledge graph persistence, multi-runtime orchestration, and related developer tools. Octyl enables teams to compound context across AI runtimes and models while maintaining zero-knowledge security guarantees.

The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account through our authentication provider, Clerk. You agree to provide accurate and complete information during registration and to keep your account credentials secure. Each individual may maintain only one account. You are responsible for all activity that occurs under your account.

You must notify us immediately at legal@octyl.ai if you become aware of any unauthorized use of your account.

4. Workspace Usage

Workspaces are subject to fair use of compute hours as defined by your subscription tier. Octyl operates on a Bring Your Own Key (BYOK) model for AI model access — you supply your own API keys for the AI runtimes you use. Octyl does not provide AI model API access directly.

You agree not to use workspaces for any unlawful purpose, to mine cryptocurrency, to run denial-of-service attacks, or to attempt to circumvent resource limits. We reserve the right to suspend workspaces that violate fair use policies.

5. Zero-Knowledge Architecture

Octyl employs a zero-knowledge architecture. This means that your source code, AI prompts and responses, API keys, and workspace data are encrypted in a manner that prevents Octyl from accessing or reading them. You acknowledge and agree that:

  • Octyl cannot access or recover your encrypted data.
  • You are solely responsible for managing your encryption keys and credentials.
  • Loss of your encryption keys may result in permanent loss of access to your data.
  • Octyl cannot assist with data recovery requests for encrypted content.

6. Intellectual Property

You retain all rights, title, and interest in and to your code, knowledge graphs, data, and any other content you create or store using the Service. Octyl does not claim any ownership rights over your content.

Octyl and its licensors retain all rights in the Service, including all software, designs, trademarks, and documentation. These Terms do not grant you any right to use Octyl's trademarks, logos, or branding without prior written consent.

7. Payment Terms

Octyl offers a free tier with limited compute hours and workspace features. Paid tiers are billed monthly in advance via Stripe. All fees are stated in US dollars and are non-refundable, including for partial months of service.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a pricing change constitutes acceptance of the new pricing. If payment fails, we may suspend your access to paid features until the balance is resolved.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTYL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OCTYL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO OCTYL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate this agreement at any time. You may terminate by deleting your account through the Service settings. Octyl may terminate or suspend your access for violation of these Terms or for any other reason with reasonable notice.

Upon termination, you will have 30 days to export your data. After the 30-day export window, Octyl will permanently delete all workspace data associated with your account. Provisions that by their nature should survive termination (including limitation of liability and governing law) will survive.

10. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or through the Service before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service before they take effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
